1. 三部门鼓励银保机构开展知识产权质押融资

8月16日,中国银保监会、国家知识产权局、国家版权局发布《关于进一步加强知识产权质押融资工作的通知》。  

《通知》主要内容包括:优化知识产权质押融资服务体系,加强知识产权质押融资服务创新,健全知识产权质押融资风险管理,完善知识产权质押融资保障工作。

《通知》具体措施包括:鼓励商业银行在风险可控的前提下,通过单列信贷计划、专项考核激励等方式支持知识产权质押融资业务发展;鼓励商业银行在知识产权打包融资以及地理标志、集成电路布图设计作为知识产权质押物的可行性等方面进行探索;规定商业银行知识产权质押融资不良率高出自身各项贷款不良率3个百分点(含)以内的,可不作为监管部门监管评级和银行内部考核评价的扣分因素等。

1. Three Departments Encourage Banking and Insurance Institutions to Carry out IP Pledge Financing Business

On August 16, 2019, the China Banking and Insurance Regulatory Commission, the National Intellectual Property Administration and the National Copyright Administration issued the Notice of Further Strengthening the Intellectual Property Pledge Financing. 

The Notice mainly includes: optimizing the service system for intellectual property (IP) pledge financing, intensifying the innovation in IP pledge financing services, improving the risk management of IP pledge financing, and providing effective guarantees for IP pledge financing. 

The specific measures set out by the Notice include: encouraging commercial banks to support the development of IP pledge financing business through separate credit plans and special assessment incentives under the premise of having risks under control; encouraging commercial banks to explore such aspects as packaged IP financing, and the feasibility of pledging the IP rights in respect of geographical indications or layout designs of integrated circuits as collateral; and stipulating that the non-performing ratio of IP pledge financing of commercial banks higher than that of their various types of loans by three percentage points or less should not be deemed as a deduction factor for the supervision rating of regulators or the in-house assessment and evaluation of banks.

2. 证监会就公募基金侧袋机制指引征求意见

2019年8月16日,证监会发布关于就《公开募集证券投资基金侧袋机制指引》公开征求意见的通知,意见反馈截止时间为2019年9月1日。

根据《指引》,侧袋机制,即是将难以合理估值的资产从基金组合资产账户中独立出来、形成侧袋账户进行独立管理,其他基金组合资产存放在主袋账户的机制。

《指引》共十七条,对侧袋机制的启用条件、申赎和投资安排、持有人大会表决权、费用支出、估值核算和信息披露等方面作出了规定,并强化基金管理人、托管人和销售机构等各类参与主体的相关责任。 

2. Public Comments Requested on Guidelines for the Side Pocket Mechanism for Publicly-Offered Funds

On August 16, 2019, the China Securities Regulatory Commission (CSRC) requested public comments on the Guidelines for the Side Pocket Mechanism for Publicly Offered Securities Investment Funds, and comments may be submitted until September 1, 2019. 

According to the Guidelines, the side pocket mechanism refers to a mechanism where the assets that are difficult to be reasonably valued are separated from the fund portfolio asset account to be under independent management in the side pocket account, while other fund portfolio assets are placed in the main portfolio account.

With a total of 17 articles, the Guidelines provide for the operating conditions for the mechanism, arrangements for subscription, redemption and investment, voting rights at the fund holders’ meetings, expenses, valuation, and information disclosure, among others, and enhance the relevant responsibilities of various participants such as fund managers, fund custodians, fund sales agencies.

3. 司法部就司法鉴定机构、鉴定人管理办法征求意见

2019年8月15日,司法部公布《司法鉴定机构登记管理办法(修订征求意见稿)》和《司法鉴定人登记管理办法(修订征求意见稿)》,征求意见截止日期为9月15日。

两个征求意见稿明确当前司法鉴定改革的重点是健全统一的司法鉴定管理体制。两个征求意见稿将侦查机关的鉴定机构和鉴定人,经审核合格后,交由司法行政部门统一编入名册并公告写入两个办法;新增鉴定机构资质管理、建立鉴定质量管理和诚信评价制度;新增制定统一的鉴定技术标准、规范和方法并指导实施;新增鉴定机构准入专家评审制度和鉴定人能力考核制度;新增严肃追究鉴定人和鉴定机构作虚假鉴定的法律责任。

3. MOJ Requests Comments on Administrative Measures for Registration of Forensic Identification and Evaluation Institutions and Experts

On August 15, 2019, the Ministry of Justice (MOJ) issued the Administrative Measures for the Registration of Forensic Identification and Evaluation Institutions (Revised Consultation Paper), and the Administrative Measures for the Registration of Forensic Identification and Evaluation Experts (Revised Consultation Paper), and comments may be submitted until September 15, 2019.

According to the Consultation Papers, the current forensic identification and evaluation reform should be primarily for the improvement of the unified administration system. To this end, the eligible forensic identification and evaluation institutions and forensic experts of criminal investigation authorities upon examination are required to be submitted to the judicial administrative agencies for unified registration, and then to be announced and recorded in two Measures; the rules for qualification management of identification and evaluation institutions, and identification and evaluation quality management and credit rating should be established; the uniform identification and evaluation technical standards, specifications and methods should be developed for better guiding the implementation; the expert review system for the identification and evaluation institution access as well as the assessment system for the identification and evaluation expert ability should be introduced; and a strict accountability system should be applied to the false identification of relevant experts and institutions.
